Commercial delivery terms.
Version 2026-09-27-v1. These terms apply when a business creates an account, requests a quote, approves a delivery price, or submits an order for service.
1. Request, review, and acceptance
A submitted request is not automatically a confirmed delivery. MileOffer may use automated tools, including AI, to review and prepare order information. Automated review does not replace human oversight. MileOffer may correct, reject, or request clarification before a delivery is released to a driver. A delivery becomes accepted only after the merchant approves the quoted price, required payment is successfully processed or otherwise approved under an agreed billing arrangement, and MileOffer confirms the order for dispatch.
2. Merchant responsibility for order information
The merchant is responsible for accurate pickup and dropoff addresses, recipient information, timing, item descriptions, weight, dimensions, quantity, handling requirements, and any information needed to select a safe vehicle. Material changes after approval may require repricing or a new service confirmation.
3. Pricing and payment authorization
The merchant will see or receive the delivery price before the order is released for dispatch. By approving the price, the merchant authorizes MileOffer or its payment processor to charge the approved amount to the payment method on file. MileOffer intends to collect approved delivery charges before releasing a job to the driver network unless a separate written billing arrangement applies. Any additional charge for a merchant-requested change, return, redelivery, waiting time, toll, parking, or special handling must be disclosed or otherwise agreed before it is charged, except where immediate action is reasonably necessary to protect people or property.
4. Cancellations, failed pickups, and returns
Before a driver is assigned, a merchant may cancel without a driver-service charge unless a separate quoted fee was already incurred. After assignment, arrival, pickup, or merchant-requested route changes, reasonable cancellation, return, redelivery, waiting, or handling charges may apply if disclosed in the applicable quote or approved change. If MileOffer cannot perform an accepted delivery and no service was provided, the applicable delivery charge should be voided or refunded, subject to payment-processor timing.
5. Items we may refuse
MileOffer may refuse unlawful goods, undisclosed hazardous materials, controlled substances, weapons or ammunition, cash or negotiable instruments, live animals, improperly packaged items, freight exceeding the selected vehicle's safe capacity, or any delivery requiring licenses, permits, insurance, equipment, or handling procedures that have not been approved in advance.
6. Pickup, loading, and access
The merchant must provide lawful access to the pickup location and ensure goods are ready, packaged, and safe to transport. Unless expressly agreed otherwise, drivers are not responsible for professional packing, installation, assembly, or handling that requires specialized licensing or equipment.
7. Delivery windows and proof
Estimated pickup and delivery times are operational targets, not guaranteed service levels unless a separate written SLA states otherwise. Delivery may be documented through timestamps, location events, photographs, signatures, recipient names, or other proof appropriate to the order.
8. Claims and order review
Merchants should report missing, damaged, misdelivered, or disputed orders promptly with supporting documentation. MileOffer may temporarily hold driver payout or merchant settlement adjustments while a genuine delivery exception, fraud review, charge dispute, or proof-of-delivery investigation is open.
9. Independent drivers and platform role
MileOffer's driver program is being designed as a local delivery network using eligible independent drivers and vehicle capacity. Driver eligibility, contractor classification, insurance, background screening, payment methods, and driver-specific terms are governed separately and may change before full commercial launch.
10. Electronic agreement
Checking the acceptance box, creating a business account, approving a quote, or submitting a delivery request after these terms are presented constitutes electronic acceptance of the applicable version. MileOffer records the accepted terms version and timestamp with the account or order.
11. Pilot-stage terms
MileOffer is still in pre-launch/pilot development. Features, service areas, payment rails, driver availability, insurance requirements, and commercial policies may be updated before broad public launch. Material changes will apply prospectively unless otherwise agreed.
Legal review required before broad commercial launch. This pilot agreement establishes the intended operating workflow but should be reviewed and finalized by qualified New York counsel, particularly for insurance, cargo-loss liability, independent-contractor terms, dispute resolution, taxes, and any liability limitations.
